These Terms and Conditions (“Terms”) govern your participation in campaigns, promotions, and communication services (“Campaign Services”) provided by Internexus Los Angeles (“Internexus LA,” “we,” “us,” or “our”) through our website (internexusla.edu), email, SMS, or other digital channels.
Please read these Terms carefully before participating in any Campaign Service.
1. Introduction and Acceptance of Terms
1.1. Agreement to Terms: This Agreement sets forth the legally binding terms for your engagement with Internexus LA’s Campaign Services. By subscribing to, participating in, or otherwise using any Campaign Service, you (“User,” “you,” or “your”) acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not participate in our Campaign Services.
1.2. Amendments: Internexus LA reserves the right to amend these Terms at any time. Your continued use of or participation in the Campaign Services after such amendments have been posted or communicated to you will constitute your acceptance of the revised Terms.
2. Description of Campaign Services
2.1. Nature of Services: Internexus LA provides various Campaign Services, which may include, but are not limited to, sending informational updates, promotional offers, event notifications, educational content, and other communications related to our programs, admissions, and services. These communications may be delivered via email, SMS (text messages), or other digital messaging platforms.
2.2. Third-Party Providers: You acknowledge and agree that Internexus LA may utilize third-party service providers, such as Twilio, for the underlying messaging and communication infrastructure that facilitates these Campaign Services.
3. User Responsibilities and Conduct
3.1. Lawful Use and Compliance: You represent and warrant that your participation in our Campaign Services and any information you submit or actions you take will comply with all applicable federal, state, provincial, and local laws and regulations. This includes, but is not limited to, privacy and data protection laws (e.g., California Consumer Privacy Act (CCPA), General Data Protection Regulation (GDPR) if applicable), telecommunications laws (e.g., Telephone Consumer Protection Act (TCPA), CAN-SPAM Act), and any rules established by regulatory bodies such as the Federal Communications Commission (FCC) and the Federal Trade Commission (FTC).
3.2. Accurate Information: You agree to provide accurate, current, and complete information when subscribing to or participating in Campaign Services.
3.3. No Unlawful or Offensive Content: You agree not to use Campaign Services to distribute or promote any material that is harassing, offensive, obscene/sexually explicit, or in violation of any third party’s copyright or other intellectual property right.
3.4. Prohibition of Unsolicited Marketing (Spam): The transmission of unsolicited telemarketing phone calls, SMS or text messages, faxes, and email (commonly known as “spam”) through our Campaign Services is strictly prohibited and constitutes a material violation of these Terms. You agree to abide by any anti-spam policies adopted by Internexus LA.
3.5. Consent for Communications: By subscribing to or participating in Campaign Services, you explicitly consent to receive communications from Internexus LA via the channels you have provided (e.g., email, SMS). You represent and warrant that you have provided, and will continue to provide, adequate notices, and that you have obtained, and will continue to obtain, all necessary permissions and consents required to enable Internexus LA and its service providers (like Twilio) to process your data and send you communications as part of these Campaign Services.
3.6. Responsibility for End Users: If you are participating in Campaign Services on behalf of another individual or entity, you are responsible for their activities and ensuring their compliance with these Terms.
3.7. Prevention of Unauthorized Access: You will take reasonable steps to prevent unauthorized access to or use of any Campaign Services associated with your account or participation.
3.8. Cooperation with Information Requests: You agree to cooperate with Internexus LA during any information requests we receive relating to your use of our Campaign Services, particularly concerning potential illegal activity or regulatory compliance.
3.9. Anti-Corruption and International Trade Laws: You warrant that you will comply with all applicable anti-corruption, anti-money laundering, and international trade laws, including, without limitation, sanctions, export controls, import, and anti-boycott laws, in connection with your participation in Campaign Services. You represent that you have not made, offered, promised to make, or authorized any payment or anything of value in violation of such laws. You will promptly notify Internexus LA in writing of any actual or potential violation of such laws in connection with the use of the Campaign Services.
4. Privacy and Protection of Personal Information
4.1. Privacy Policy: Internexus LA processes personal data in accordance with its Privacy Policy, which is available on our website. We encourage you to regularly review our Privacy Policy for information on how we collect, use, and protect your personal information.
4.2. Data Processing: By participating in Campaign Services, you acknowledge and agree that Internexus LA may collect, store, and process your personal information as described in our Privacy Policy and as necessary to provide the Campaign Services. This includes sharing data with third-party service providers, such such as Twilio, in compliance with applicable data protection laws.
4.3. Data Security: Internexus LA will maintain reasonable administrative, technical, and physical safeguards to help protect the security, confidentiality, and integrity of your information in its possession.
5. Disclaimers and Limitation of Liability
5.1. “As Is” Basis: THE CAMPAIGN SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” INTERNEXUS LA MAKES NO WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, AND SPECIFICALLY DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT TO THE FULLEST EXTENT PERMITTED BY LAW.
5.2. Telecommunications Networks: You acknowledge that the internet and telecommunications providers’ networks are inherently insecure. Internexus LA will have no liability for any changes to, interception of, or loss of your data while in transit via the internet or a telecommunications provider’s network. Internexus LA additionally disclaims all warranties related to telecommunications providers.
5.3. No Liability for Third-Party Content: Internexus LA does not represent or endorse the accuracy or reliability of any opinion, advice, or statement made through the Campaign Services by you or others. We assume no liability for any harassing, offensive, or obscene/sexually explicit material, or material distributed in violation of any third party’s copyright or other intellectual property right, distributed by you or others under your account.
5.4. Maximum Liability: To the maximum extent permitted by law, Internexus LA shall not be liable for any direct, indirect, incidental, special, consequential, or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data, or other intangible losses, resulting from your use or inability to use the Campaign Services.
6. Indemnification
6.1. You agree to indemnify, defend, and hold harmless Internexus LA (and its affiliates, agents, business associates, resellers, licensors, and suppliers) from any and all direct, indirect, or consequential claims, losses, damages, judgments, expenses, and costs (including, but not limited to, reasonable attorneys’ fees and expenses) arising out of your use of the Campaign Services, your violation of these Terms, the delivery of any of your messages or documents using the Campaign Services, or the infringement of any trademark or copyright by you.
6.2. You represent and warrant that any content or services you provide or use in connection with the Campaign Services do not, and will not, infringe or misappropriate a third party’s intellectual property rights.
7. Intellectual Property
7.1. Internexus LA Ownership: All programs, services, processes, designs, software, technologies, trademarks, trade names, inventions, and materials comprising the Campaign Services are wholly owned by Internexus LA and/or its licensors and service providers, except where expressly stated otherwise.
7.2. User Content: Any content you submit or create through the Campaign Services remains your intellectual property. However, by submitting such content, you grant Internexus LA a worldwide, non-exclusive, royalty-free, transferable, and sublicensable license to use, reproduce, modify, adapt, publish, translate, distribute, and display such content for the purpose of providing and promoting the Campaign Services.
8. Termination
8.1. Internexus LA reserves the right to terminate or suspend your access to all or part of the Campaign Services at any time, with or without notice, for any reason, including, but not limited to, a breach of these Terms.
9. Governing Law and Dispute Resolution
9.1. Governing Law: These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles.
9.2. Jurisdiction: Any dispute arising out of or relating to these Terms or the Campaign Services shall be resolved exclusively in the state or federal courts located in Los Angeles County, California.
